Terms & Conditions

These terms apply to use of this website and to sourcing, buying-house and merchandising services provided by Asbaltex BD unless a signed supply agreement states otherwise.

1. Definitions

"We", "us" and "Asbaltex BD" mean the sourcing company registered in Chattogram, Bangladesh. "Buyer" means the brand, retailer or importer placing an enquiry or order. "Order" means a confirmed purchase order accepted in writing by us.

2. Quotations and pricing

Prices shown on this website are indicative FOB unit prices at the stated minimum quantity and are valid for 30 days. Final pricing depends on confirmed fabric, trims, print technique, packing, quantity and delivery terms.Yarn, dyestuff and freight movements above 5% may require re-costing before order confirmation.

3. Samples and approvals

Development, fit, size-set and pre-production samples are chargeable unless waived in writing; charges are credited against bulk on confirmed orders.Bulk production starts only after written PP sample and lab-dip approval. Delayed approvals shift the delivery date accordingly.

4. Minimum order quantity

MOQ is stated per style and per colour on each product page. Below-MOQ orders may be accepted with a surcharge or an extended lead time.

5. Payment terms

Standard terms are an irrevocable Letter of Credit at sight, or 30% advance with the balance against shipping documents. TT and escrow arrangements are available for repeat buyers. All bank charges outside Bangladesh are for the buyer's account.

6. Delivery, Incoterms and title

Unless stated otherwise, trade terms are FOB Chattogram under Incoterms 2020. CIF and DDP can be arranged. Risk passes per the agreed Incoterm; title passes on full payment.

7. Quantity tolerance

A ±3% quantity tolerance applies to each shipment and is invoiced on actual shipped quantity, which is standard practice in apparel manufacturing.

8. Inspection and quality

Inline and final inspections follow AQL 2.5 for major defects and AQL 4.0 for minor defects unless the buyer specifies otherwise. Buyers or their nominated third party may inspect before shipment.

9. Claims

Quality or shortage claims must be raised in writing within 15 days of receipt with photographic evidence and defect quantities. Approved claims are settled by replacement, rework or credit note at our option. Claims are void where goods have been washed, altered or resold.

10. Intellectual property

Buyers retain ownership of their designs, artwork and trademarks and confirm they hold the rights to produce them. Website content, photography and copy remain the property of Asbaltex BD.

11. Compliance and ethical sourcing

We place orders only with units meeting our social-compliance requirements. Buyers agree not to request practices that breach Bangladesh labour law, buyer codes of conduct or applicable sanctions and import regulations.

12. Force majeure

Neither party is liable for delay caused by events beyond reasonable control, including natural disaster, strike, port congestion, epidemic, war or government restriction. Affected timelines are extended by the duration of the event.

13. Limitation of liability

Our aggregate liability for any order is limited to the invoice value of the affected goods. We are not liable for indirect losses such as lost profit, lost sales or markdown allowances.

14. Governing law and disputes

These terms are governed by the laws of Bangladesh. Parties will first attempt good-faith settlement; unresolved disputes go to arbitration in Chattogram under the Arbitration Act 2001.
